We are seeking a Structured Notes Lawyer (VP level) to join the Global Markets legal team in London at a Global Bank. This role will provide front-to-back transactional support to the structured notes business across asset classes, with a primary focus on credit and rates, and additional exposure to FX and equities.
As a key member of the transaction legal team, you will work closely with front office, legal, compliance, and other corporate stakeholders to provide advice from structuring through to execution. The position offers the chance to work on complex, bespoke transactions in a fast-paced environment, requiring both deep technical expertise and strong commercial judgment.
Key Responsibilities

Provide legal and transactional advice to the structured notes businesses, with focus on credit and rates, and coverage of FX and equities as required.

Draft, review, and negotiate transaction documentation, including Final Terms, Issuer Summaries, and distributor agreements.

Ensure compliance with regulatory and governance requirements, including Prospectus Regulation, MiFID II, PRIIPs, and product governance frameworks.

Advise on third-party distribution arrangements across multiple European jurisdictions, managing local law, filing, and listing requirements.

Support the development and implementation of new products and initiatives in line with internal governance standards.

Collaborate with stakeholders across business, legal, compliance, and senior management to identify and manage legal, commercial, and regulatory risks.
Skills & Experience

Strong background in retail structured securities offerings, with expertise in Prospectus Regulation and cross-border distribution requirements.

Experience drafting and reviewing structured notes documentation, with knowledge of credit and rates-linked products (FX and equities an advantage).

Familiarity with ISDA definitions, orphan SPV programmes, and repackaging structures; knowledge of SPIRE is desirable.

Solid understanding of product governance under MiFID II, including implementation of related regulatory requirements.

Prior experience in a law firm transactional department and/or in-house legal team within financial services.
